These Terms & Conditions (“Terms”) govern your access to and use of the Sofpick. By accessing or using the Platform, you agree to these Terms. If you do not agree, you should not use the Platform.
1. About the Platform
The Platform is designed to help organizations evaluate and compare enterprise software solutions using structured evaluation frameworks, business-specific requirements, weighted criteria, multiple information sources, and AI-assisted analysis.
The Platform may provide vendor scores, comparisons, strengths, gaps, evaluation rationale, reports, and other decision-support insights.
These outputs are intended to support software evaluation and should not be considered a substitute for independent business, technical, financial, legal, or procurement due diligence.
2. Eligibility and Account Registration
You must be legally capable of entering into an agreement to use the Platform.
If you use the Platform on behalf of an organization, you represent that you have the authority to accept these Terms on behalf of that organization.
Where an account is required, you agree to provide accurate and current information and to keep your login credentials secure.
You are responsible for activities performed through your account and should notify us promptly if you suspect unauthorized access.
3. Acceptable Use
You agree to use the Platform only for lawful business purposes and in accordance with these Terms.
You must not:
- Attempt to gain unauthorized access to the Platform or related systems
- Interfere with the security or operation of the Platform
- Introduce malicious software, code, or other harmful material
- Use automated methods to extract or scrape Platform content without authorization
- Reverse engineer or attempt to reproduce proprietary Platform functionality except where permitted by law
- Use the Platform to violate intellectual property, privacy, or other legal rights
- Misrepresent Platform-generated evaluations or reports
- Use the Platform for unlawful, fraudulent, or deceptive purposes
We may restrict or suspend access where we reasonably believe these Terms have been violated.
4. Evaluation Inputs
You may provide requirements, priorities, criteria weightings, source weightings, stakeholder inputs, and other information as part of an evaluation.
You are responsible for ensuring that the information you submit is accurate and that you have the necessary rights and permissions to use it.
You should not submit confidential, sensitive, personal, or proprietary information unless it is necessary for the evaluation and you are authorized to provide it.
5. AI-Assisted Evaluations
The Platform may use artificial intelligence and automated methods to analyze evaluation inputs and generate vendor scores, comparisons, explanations, strengths, gaps, and recommendations.
AI-generated outputs may contain inaccuracies, omissions, or interpretations that require further review.
You should independently validate information that is material to your software selection before making purchasing, contractual, implementation, or investment decisions.
The final selection of any software vendor remains solely with you and your organization.
6. Vendor Scores and Recommendations
Vendor scores and recommendations are generated using the criteria, priorities, source weightings, information, and methodology available at the time of evaluation.
Scores should not be interpreted as a guarantee that a particular vendor or software product will meet every requirement or deliver a specific business outcome.
Different requirements, priorities, source weightings, or available information may produce different evaluation results.
The Platform does not guarantee the performance, suitability, availability, pricing, implementation success, or future capabilities of any evaluated software vendor.
7. Third-Party Information
The Platform may incorporate, reference, summarize, or analyze information from third-party sources, including analyst research, industry perspectives, consultants, publicly available information, and vendor-provided materials.
Third-party information may change over time, and we do not guarantee that all such information will always be complete, accurate, or current.
References to third-party vendors, products, research organizations, or other entities do not necessarily constitute an endorsement, partnership, or recommendation.
Users should verify material vendor information directly with the relevant vendor or source before making a final decision.
8. Intellectual Property
The Platform and its underlying technology, design, methodology, workflows, software, interfaces, branding, and original content are owned by or licensed to Sofpick and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, sell, license, reverse engineer, or commercially exploit Platform content or functionality without prior written authorization.
Third-party names, trademarks, logos, research, and other materials remain the property of their respective owners.
9. Your Content and Evaluation Data
You retain applicable rights to the original information you submit to the Platform.
You grant us the rights necessary to process that information for the purpose of providing, securing, maintaining, and improving the Platform, subject to our Privacy Policy and applicable law.
You are responsible for ensuring that your submitted content does not violate applicable laws or the rights of third parties.
10. Reports and Platform Outputs
Reports, scores, comparisons, and other outputs generated through the Platform are provided for your internal evaluation and decision-support purposes, subject to any applicable subscription or account terms.
You are responsible for reviewing outputs before relying on or distributing them.
Platform outputs should not be presented as independent professional advice or as guaranteed statements regarding a vendor’s capabilities or suitability.
11. Availability and Platform Changes
We aim to provide reliable access to the Platform but do not guarantee uninterrupted or error-free availability.
We may update, modify, improve, replace, suspend, or discontinue features where reasonably necessary for technical, security, operational, legal, or business reasons.
Functionality may change as the Platform develops.
12. Fees and Payments
Certain Platform features may be available free of charge, while others may require a paid subscription or separate agreement.
Where fees apply, pricing, payment terms, renewal conditions, and applicable taxes will be communicated before purchase or set out in the applicable commercial agreement.
Additional terms may apply to paid plans or enterprise customers.
13. Privacy and Data Protection
Our collection and use of personal information are governed by our Privacy Policy.
By using the Platform, you acknowledge that information may be processed as described in that policy and in accordance with applicable data protection requirements.
14. Disclaimer of Warranties
To the extent permitted by applicable law, the Platform and its outputs are provided on an “as available” basis.
We do not warrant that every evaluation, score, recommendation, third-party data point, or AI-generated insight will be complete, accurate, current, or suitable for every business situation.
Users remain responsible for conducting appropriate due diligence before selecting or purchasing enterprise software.
15. Suspension and Termination
We may suspend or terminate access to the Platform where:
- These Terms are materially violated
- Platform security or integrity is threatened
- The Platform is used unlawfully or fraudulently
- Required payments remain outstanding
- Suspension is necessary to comply with legal requirements
You may stop using the Platform at any time, subject to applicable subscription or contractual obligations.
16. Governing Law and Jurisdiction
These Terms are governed without regard to applicable conflict-of-law principles.
Any disputes arising from these Terms or use of the Platform will be subject to the jurisdiction of the courts, unless otherwise required by applicable law or agreed in writing.
17. Changes to These Terms
We may update these Terms periodically to reflect changes to the Platform, our business practices, or applicable legal requirements.
The updated Terms will be published with a revised “Last Updated” date. Where required, we will provide additional notice of material changes.
Continued use of the Platform after updated Terms become effective constitutes acceptance where permitted by applicable law.
